GENERAL TERMS OF USE

Clause 1. Identification of the Parties

These Conditions regulate the relationship between the entity owning the digital platform, HARMONY DV TECH, S.L. with registered office at C/ Pere Ripoll y Palou, 59 1ºB, 07008 PALMA DE MALLORCA, SPAIN and Tax ID B26974170 (hereinafter "the Platform") and any natural or legal person who, after completing the registration process enabled in the application, creates a registered user or provider account for the purpose of publishing and offering products or services related to event or celebration organization (hereinafter, the "Provider").

DEFINITIONS

The following shall be understood as:

  • Platform: refers to the digital intermediation service provided by the owning company, accessible through the web or application, that allows Providers to publish information about products or services related to event organization.
  • User: Any person who accesses the Platform, including Registered Users and Visitor Users, who accepts these General Terms of Use and the applicable Privacy Policy.
  • Registered User: Company that has registered on the Platform. They can act as Providers or purchasers of event-related services.
  • Visitor User: Natural person who accesses the provider account of the registered user (company) without needing to register or pay, solely for the purpose of uploading and/or consulting information about services or products offered by providers.
  • Provider Account: Personal and exclusive space within the Platform assigned to the Provider, through which they can publish and manage information about their products or services.
  • Content: Information, data, images, texts, videos or any material published on the Platform by Providers, Registered Users or third parties.

Clause 2. Nature of the Service and Platform Responsibility

The Platform constitutes a digital intermediation service that allows companies providing products or services related to event and celebration organization to publish information about their services, facilitating their consultation, contracting and management of their professional projects. The Platform acts solely as an intermediary between them and provider of hosting for content provided by third parties.

Clause 3. User Status. Types of Users. Acceptance of Conditions

Access and/or use of the platform confers the status of User. All Users expressly accept these General Terms of Use and the applicable Privacy Policy for the platform. The acceptance of these General Terms of Use is carried out through electronic procedure through the application, with the date, time and account identification providing consent being recorded, constituting reliable proof of acceptance of these conditions.

Clause 4. Modification of the Conditions

The Platform may modify these Conditions at any time to adapt them to regulatory changes, technical improvements to the application or modifications in service operation. When a substantial modification occurs, the Platform will inform registered Providers through electronic notification.

Clause 5. Economic Conditions and Pricing Policy

The Registered User or provider will pay a fee to access the platform, expressly accepting the economic conditions, as well as the payment, contracting and cancellation rules applicable to services offered through the Platform.

The Platform will remain available free of charge until January 1, 2027. After this period, the Platform owner will notify Registered Users of the end of free access and available options to continue using the service.

Clause 6. Price and Provider Conditions Guarantee

The Provider guarantees that prices, commercial conditions and characteristics of products or services offered through the Platform are set directly by them and reflect truthful, complete and updated information.

Clause 7. Payment Methods and Security

The platform uses the Paddle payment gateway as a collection service provider. Paddle.com acts as Merchant of Record for subscription and digital service payment management.

Clause 8. Content Moderation

The Platform reserves the right to review, limit access or remove any content published on the Platform that violates applicable regulations, infringes third party rights or contravenes the terms of use.

Clause 9. Intellectual Property Rights and User Rights

Providers guarantee that they own the intellectual property rights over published content or have the necessary licenses for their use and dissemination.

Clause 10. Notification and Content Removal Procedure (Notice & Action)

Users and third parties can notify the Platform of the existence of allegedly illegal content through email or the enabled form.

Clause 11. Regulatory Compliance and Provider Responsibility

The Provider assumes all responsibility for their products or services, compliance with applicable regulations and third party claims.

Clause 12. Right of Withdrawal

The Platform constitutes an intermediation service intended for business-to-business (B2B) relationships. Consequently, these Conditions mainly apply to business and professional relationships, and the right of withdrawal provided for in consumer regulations will not apply to Users acting as companies or professional providers.

However, in the exceptional case that a User accesses the Platform and acts as an end consumer, they are informed that they may exercise their right of withdrawal in accordance with Royal Legislative Decree 1/2007 and Directive 2011/83/EU, within fourteen (14) calendar days from the conclusion of the contract.

Clause 13. Suspension and Cancellation of Provider Account

The Platform reserves the right to temporarily suspend or permanently cancel the Provider's account in case of breach of these conditions, violation of applicable regulations, infringement of third party rights or existence of a risk to Platform security or Users.

Clause 14. Duration of the Contract

This contract will have an indefinite duration and will remain in force while the Provider maintains an active account on the Platform.

Clause 15. Transparency on Recommendation Systems and Advertising

The Platform will inform Providers about any automated recommendation or product/service positioning system, as well as the existence of advertising or promotions within the Platform.

Clause 16. Internal Content Moderation System

The internal system allows filing claims against any Platform decision regarding content moderation, including removal, access limitation or modification thereof.

Clause 17. Provider Obligations and Guarantees

The Provider declares and guarantees that all information provided through the Platform will be truthful, complete and updated.

Clause 18. Confidentiality and Data Protection

The Provider undertakes to maintain the confidentiality of all information accessed through the Platform, including User personal data, commercial information, internal procedures, strategies and any other sensitive or reserved data.

Clause 19. Platform Liability Exclusion

The Provider acknowledges and accepts that the Platform acts solely as a technological intermediary for the promotion and connection of Users with goods and services Providers.

Clause 20. Force Majeure

Neither party shall be liable for breaches derived from causes beyond their reasonable control, including natural disasters, technological failures or acts of third parties that prevent the normal operation of the Platform.

Clause 21. Electronic Acceptance and Consent Registration

The acceptance of these Adhesion Conditions will be carried out electronically through the procedure enabled in the Platform.

Clause 22. Applicable Law and Jurisdiction

This contract shall be governed and interpreted in accordance with Spanish legislation. For the resolution of any dispute, conflict or claim arising from the use of the Platform, the relationship between the Platform and Providers, or the contents, products or services published therein, the parties expressly submit to the jurisdiction of the Courts and Tribunals of Palma de Mallorca, Spain.
